These Terms and Conditions ("Terms") govern your access to and use of the UrgentCover website and services (the "Service"), provided by [Your Company Name] (Company No. [Your Company Number]), a company incorporated in England and Wales whose registered office is at [Your Registered Office Address] ("UrgentCover", "we", "us", or "our").
Please read these Terms carefully. By accessing or using the UrgentCover website and/or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the website or the Service.
In these Terms, the following definitions apply:
UrgentCover provides a platform that connects dental practices (Clients) with temporary dental professionals (Locums). We facilitate the posting of Job Postings, the searching for Locums, and the Booking process. UrgentCover is not an employment agency or business. We do not employ Locums.
3.1 To use the Service, both Clients and Locums must register and create a User Account. You must provide accurate and complete information during registration and keep your account information up-to-date.
3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 You must be at least 18 years of age to use the Service.
3.4 If you are registering as a Client you must be a genuine dental practice regulated by the Care Quality Commission (CQC) or equivalent regulatory body.
3.5 If you are registering as a Locum you must hold valid qualifications recognised by the General Dental Council (GDC) and be legally entitled to work in the United Kingdom.
4.1 Clients may create Job Postings on the Platform, specifying the required role, dates, times, location, hourly rate, and other relevant details.
4.2 Locums may apply for Job Postings through the Platform.
4.3 A Booking is formed when a Client accepts a Locum's application and the Locum accepts. The Client and Locum are responsible for agreeing on the specific terms of the engagement (e.g., duties, breaks, etc.).
4.4 UrgentCover is not a party to the contract between the Client and the Locum. We are not responsible for the performance of either party.
5.1 Clients will pay a Service Fee to UrgentCover for each Booking made through the Platform. The amount of the Service Fee will be clearly displayed before a Booking is confirmed.
5.2 Locums' hourly rates are displayed on the Platform to enable Clients to search and filter.
5.3 Payment processing will be handled by UrgentCover's payment system or a secure third-party payment processor.
5.4 You authorise UrgentCover to share your details with any third party payment system provider for the purpose of processing payments.
6.1 Cancellations by Clients made more than 48 hours before the start of a Booking will not incur a fee.
6.2 Cancellations by Clients made within 48 hours of the start of a Booking may incur a fee as communicated on the Platform.
6.3 Cancellations by Locums made more than 24 hours before the start of a Booking will not incur a fee.
6.4 Cancellations by Locums made within 24 hours of the start of a Booking may be subject to review and may result in suspension from the Platform.
6.5 All cancellations must be made via the Platform.
7.1 UrgentCover undertakes reasonable efforts to verify the identity and qualifications of Locums registering on the Platform. This may include checks of GDC registration, professional indemnity insurance, and other relevant documents.
7.2 However, UrgentCover does not guarantee the accuracy, completeness, or reliability of any information provided by Locums. It is the Client's responsibility to conduct their own due diligence and satisfy themselves that a Locum is suitable for a particular Job Posting.
8.1 You agree to use the Service in a professional and lawful manner.

9.1 All content on the Platform, including text, graphics, logos, and software, is the property of UrgentCover or its licensors and is protected by copyright and other intellectual property laws.
9.2 You may not copy, reproduce, distribute, or create derivative works from any content on the Platform without our express written permission.
UrgentCover processes personal data in accordance with its Privacy Policy, which is available on the Platform. By using the Service, you consent to such processing and warrant that all data provided by you is accurate.
11.1 To the maximum extent permitted by law, UrgentCover excludes all liability for any loss or damage, whether direct, indirect, or consequential, arising out of or in connection with your use of the Service, including but not limited to:
11.2 The Client acknowledges that UrgentCover does not supervise and/or control the actions of any Locum. Nothing in this Agreement shall in any way constitute any Locum as the employee or worker of UrgentCover. UrgentCover shall not be responsible for supervising, monitoring or directing the Locum whilst working on a Marketplace Engagement and accordingly, only the Client is in a position to assess and insure against risks in respect of or during or arising out of the period for which the Locum is performing the Locum Services.
11.3 The Client acknowledges that there is no contract between UrgentCover and a Locum relating to the Locum Services. UrgentCover shall not be responsible for and shall have no involvement in any disputes between the Client and a Locum and shall not be responsible for the quality of the Locum Services provided by the Locum or their activities while at the Client's location(s).
11.4 Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
UrgentCover may terminate your User Account and access to the Service at any time, with or without cause, and with or without notice.
UrgentCover reserves the right to modify or discontinue the Service, or any part of it, at any time without notice.
These Terms shall be governed by and construed in accordance with the laws of England and Wales and you agree to submit to the exclusive jurisdiction of the courts of England and Wales.
These Terms constitute the entire agreement between you and UrgentCover relating to your use of the Service and supersede any prior agreements or understandings.
